These Terms & Conditions (“Terms”) govern your use of the Groundshaker AI website, services, AI agents, automation systems, and related offerings.
1. SERVICES PROVIDED
Groundshaker AI provides:
AI voice agents (inbound & outbound)
AI SMS and chat agents
Automated appointment setting
CRM and pipeline automation
Lead qualification & reactivation
White-label AI solutions for agencies
Service details may vary by plan or agreement.
2. NO GUARANTEED RESULTS
While our systems are designed to improve efficiency and conversions, we do not guarantee:
Revenue increases
Appointment volume
Lead quality
Specific performance metrics
Results depend on many factors beyond our control.
3. USER RESPONSIBILITIES
You agree to:
Provide accurate information
Comply with all applicable laws (including TCPA, CAN-SPAM, and SMS regulations)
Obtain proper consent before uploading or contacting leads
Not misuse AI systems for unlawful, deceptive, or abusive purposes
You are solely responsible for how AI agents are used within your business.
4. AI SYSTEM LIMITATIONS
Our AI systems:
Are automated and non-human
May make errors or misinterpret inputs
Do not provide legal, financial, or medical advice
You acknowledge and accept these limitations.
5. PAYMENTS & SUBSCRIPTIONS
Fees are due as agreed upon at purchase or contract execution
Failure to pay may result in suspension or termination
All sales are final unless otherwise stated in writing
6. WHITE-LABEL & AGENCY USE
White-label services are licensed, not sold. You may not:
Resell outside agreed terms
Claim ownership of underlying AI technology
Reverse engineer or duplicate systems
7. INTELLECTUAL PROPERTY
All content, software, workflows, AI logic, branding, and materials are owned by Groundshaker Enterprises, unless otherwise stated.
You receive a limited, non-transferable license to use services while in good standing.
8. TERMINATION
We reserve the right to suspend or terminate access if:
These Terms are violated
Payments are delinquent
Systems are misused
Legal or compliance risk arises
9. LIMITATION OF LIABILITY
To the maximum extent permitted by law, Groundshaker AI shall not be liable for:
Lost revenue or profits
Business interruption
Data loss
Indirect or consequential damages
Total liability shall not exceed amounts paid to us in the prior 30 days.
10. INDEMNIFICATION
You agree to indemnify and hold harmless Groundshaker Enterprises from claims arising from:
Your misuse of AI systems
Violation of laws or regulations
Improper lead consent or data handling
11. GOVERNING LAW
These Terms shall be governed by the laws of the United States, without regard to conflict of law principles.
